1. The Service

Histiq is a browser extension for Chrome and Edge that indexes web pages you visit locally on your device and provides semantic search across your browsing history.

All indexing, storage, and AI processing happens locally on your device. Histiq does not transmit your browsing history, page content, or search queries to any server operated by Infivion LLC.

2. Eligibility

You must be at least 13 years old to use Histiq. By using the Service, you represent that you meet this requirement and that all information you provide is accurate.

3. Free Trial

Histiq offers a 14-day free trial with full access to all features. No credit card or payment information is required to start the trial.

At the end of the trial period, your indexed history will be frozen — not deleted. You will not be able to search until you subscribe. All locally stored data is preserved for 30 days after trial expiry. If no subscription is started within 30 days, the locally stored index will be cleared.

4. Plans and Payment

Histiq offers three paid plans:

• Monthly — $6.99/month, billed each month, cancel anytime.
• Annual — $49.99/year ($4.17/month equivalent), billed once a year, cancel anytime.
• Lifetime — $129 one-time payment, no recurring billing, permanent access including all future updates.

All payments are processed by a third-party payment processor acting as our Merchant of Record. They handle billing, invoicing, VAT, and tax compliance on behalf of Infivion LLC.

• By purchasing you agree to the payment processor’s terms of service and privacy policy in addition to these Terms.
• Subscription fees (Monthly and Annual) are charged at the start of each billing period. The Lifetime plan is a single, non-recurring charge.
• Prices are listed in USD and may vary by region due to local taxes.
• You can manage, upgrade, downgrade, or cancel your subscription at any time through the billing portal accessible from the extension Settings.
• “Lifetime” refers to the lifetime of the product. See the Refund Policy for details.

5. Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you retain full access until then. No partial refunds are issued for unused time within a billing period, except as described in our Refund Policy.

6. License

Subject to your compliance with these Terms and an active subscription (or active trial), Infivion LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Histiq browser extension for your personal, non-commercial use.

You may not:

• Distribute, sell, or sublicense the extension or its components.
• Reverse engineer or decompile any part of Histiq except as permitted by applicable law.
• Use Histiq for any unlawful purpose or in violation of any regulations.
• Attempt to circumvent license verification or subscription enforcement mechanisms.

7. Privacy

Your browsing history and page content are stored exclusively in your browser’s local IndexedDB. Infivion LLC does not have access to this data. All embedding generation and search happens locally on your device — no external AI provider is contacted for indexing or search operations.

8. Third-Party Services

Histiq may interact with third-party services, including:

• Our payment processor / Merchant of Record — for payment processing and license management.
• Google Analytics — for aggregate website analytics, loaded only after consent.

Use of these services is governed by their own terms and privacy policies.

9. Disclaimer of Warranties

Histiq is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the extension will be error-free, uninterrupted, or compatible with all browser versions.

10. Limitation of Liability

To the fullest extent permitted by law, Infivion LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of Histiq.

Our total liability to you for any claims arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Intellectual Property

Histiq, its source code, design, branding, and all related materials are the property of Infivion LLC and protected by applicable intellectual property laws. These Terms do not transfer any ownership rights to you.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be announced via the extension or by email (if provided). Continued use of Histiq after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Wyoming.
